This Agreement may not be terminated by Customer during the Term, except for a material breach by MH that remains uncured for more than 30 days after MH receives notice from Customer identifying the specific breach, <o:p></o:p></SPAN></P> <P class="MsoNormal" style="MARGIN: 0in 0in 0pt 1in; TEXT-INDENT: -0.25in; TEXT-ALIGN: justify; mso-list: l0 level2 lfo1; tab-stops: list 1.0in left 225.0pt 3.5in"><SPAN lang="EN-GB" style="FONT-SIZE: 8pt; FONT-FAMILY: 'Verdana'; mso-ansi-language: EN-GB; mso-fareast-FONT-SIZE: 8pt; mso-bidi-FONT-SIZE: 8pt"><SPAN style="mso-list: Ignore">2.3.</SPAN></SPAN><SPAN lang="EN-GB" style="FONT-SIZE: 8pt; FONT-FAMILY: 'Verdana'; mso-ansi-language: EN-GB">Customer acknowledges that its commitment to each Order Term is an important factor in MH s decision to agree to the pricing in this Agreement. However, Customer may terminate this Agreement before the end of the Term if Customer (i) notifies MH in writing at least 60 days before the effective date of termination ( Notice of Termination ) and (ii) pays MH all amounts invoiced and unpaid as of the date of termination, (if annual billing, in a prorated amount to reflect the MH Products already provided), plus 100% of all deposits, set up fees or similar up front charges in the Agreement, plus an  Early Cancellation Fee equal to 60% of the total remaining amounts due under this Agreement for the remainder of the then current Order Term. In the event that no Notice of Termination has been received by MH, this Agreement shall continue for a further period equal to the initial Term. If MH terminates this Agreement for Customer s breach, Customer shall pay the Early Cancellation Fee in addition to, and not instead of, any other remedies provided elsewhere in this Agreement, or by law for breach, including without limitation MH s right to seek injunctive relief and to sue for damages. Amounts which have not been paid within 30 days after the invoice date will thereafter, until paid, be subject to a late payment charge at a rate equal to 8% per annum (or, if less, the maximum rate permitted under applicable law) together with any legal costs. Customer shall owe and MH has the right to invoice for the then-current non-sufficient funds fee for all returned checks. No claims directly or indirectly related to this Order with respect to amounts billed or payments made under this Order may be initiated by either party more than 24 months after such amounts were first billed to Customer. <o:p></o:p></SPAN></P> <P class="MsoNormal" style="MARGIN: 0in 0in 0pt 1in; TEXT-INDENT: -0.25in; TEXT-ALIGN: justify; mso-list: l0 level2 lfo1; tab-stops: list 1.0in left 225.0pt 3.5in"><SPAN lang="EN-GB" style="FONT-SIZE: 8pt; FONT-FAMILY: 'Verdana'; mso-ansi-language: EN-GB; mso-fareast-FONT-SIZE: 8pt; mso-bidi-FONT-SIZE: 8pt"><SPAN style="mso-list: Ignore">3.2.</SPAN></SPAN><SPAN lang="EN-GB" style="FONT-SIZE: 8pt; FONT-FAMILY: 'Verdana'; mso-ansi-language: EN-GB">In exchange for MH providing the MH Products selected in this Agreement, you will promptly pay to MH the applicable fees listed on the Order(s) to this Agreement in accordance with the invoice terms, in U.S. dollars. The fees for the MH Products may include deposits, Transactional Commitments (e.g., set up fees, fees for additional products), and the Subscription Commitments (the  Fees ). If Fees are expressed in terms of a Monthly Commitment, Customer is obligated for the sum of the Monthly Commitments throughout the Term. Deposits, if any, must be paid upon execution of this Order. Transactional Commitments are due upon invoice. Any changes or additions to Customer s selections will affect the Fees. Print materials and CD-ROMs are subject to additional shipping and handling charges. Fees do not include any sales, use, or similar taxes. MH may compile and use aggregated non-personal information taken from Your Content and may provide such information to third parties. Should your Martindale-Hubbell Professional Profile match a user's search criteria, then your Martindale-Hubbell Professional Profile will be displayed in Online Directory search results at www.lawyers.com ahead of lawyers and firms that are not customers of the MH Products. Subject to the provisions of your Agreement, you are granted a limited, non-exclusive, non-transferable license to access and use MH provided Software and the MH Products only for internal business purposes in connection with the creation, updating, and maintenance of the Martindale-Hubbell Professional Profile. You hereby acknowledge that information provided to MH under this Agreement may be shared with MH affiliates and other entities that have alliances with MH. You understand that you may review and update your information through the MH Client Service Center located at https://csc.martindale.com/ ( CSC ). You agree to review the most recent version of these Terms of Use each time you log onto the MH Client Service Center. At MH's request from time to time, Customer will certify in writing the then-current Reference Number and, if applicable, the Customer's locations.
